We are a special purpose acquisition company incorporated on May 11, 2026 as a Cayman Islands exempted company and formed for the purpose of effecting a merger, share exchange, asset acquisition, share purchase, reorganization or similar business combination with one or more businesses or entities. We may pursue an initial business combination in any business or industry but expect to target opportunities and companies operating within the broader industrial technology sector, specifically focusing on Industry 4.0, smart manufacturing, next-generation mobility, or related sectors. We believe we are at a critical point in the convergence of physical industrial systems and advanced digital technologies. This synthesis, often termed “Industry 4.0,” in our view constitutes a shift within the broader industrial technology sector. The global industrial economy is undergoing a systemic transformation driven by the integration of artificial intelligence (“AI”), the industrial internet of things (“IIoT”), so-called digital twin simulation which relates to a dynamic, real-time virtual simulation of physical objects and systems, and advanced robotics. We believe these trends have created an attractive environment for capital deployment, presenting a significant value creation opportunity for investors.
